Terms of Service

These terms form an agreement between you and Thomas-Hudson Roche trading as ReferOn (ABN 56 481 369 463). By creating a ReferOn account or using the platform, you accept them.

1. What ReferOn is — and what it is not

ReferOn is software that helps professionals record, send, receive and track client referrals, and keep a record of the fees they agree between themselves.

ReferOn is not a party to any referral arrangement between members. We do not introduce clients, vouch for any member, guarantee the quality of any service, or participate in the commercial terms members agree. We are a record-keeping and communication tool only.

We do not provide legal, financial, taxation, real estate or credit advice, and nothing on the platform should be treated as such advice.

2. Eligibility and your account

  • You must be at least 18 and using ReferOn for genuine business purposes.
  • You must give accurate details about yourself, your business, and any licence or registration you claim to hold.
  • You are responsible for keeping your login secure and for everything done through your account, including by staff you give access to via a team access link.
  • One account per person. Do not share logins.

We verify that members complete our onboarding process, but we do not independently verify every professional licence or qualification. You should satisfy yourself about any partner before working with them.

3. Client consent — your core obligation

You must have your client's consent before you submit their personal information to ReferOn or send it to another member. You confirm this each time you send a referral.

You must only submit client information that is accurate and that you are lawfully entitled to share, you must not misrepresent a client's circumstances or intentions, and you must comply with the Privacy Act 1988 (Cth), the Spam Act 2003 (Cth) and any professional or licensing obligations that apply to you.

Breaching this section is grounds for immediate suspension or removal from the network.

4. Referral fees and payments between members

Fee terms are agreed between the sending and receiving member. ReferOn records what was agreed; it does not set, endorse, or enforce those terms.

  • Members are solely responsible for invoicing, paying, and recovering referral fees between themselves, including any GST.
  • ReferOn does not hold client or member money, does not operate a trust account, and accepts no responsibility or liability for payment, non-payment, or recovery of any referral fee.
  • Where members choose to settle a fee through our payment provider, the payment is made directly between them. Processing fees are borne by the receiving member, and ReferOn takes no percentage of the transaction.
  • You are responsible for your own tax obligations, including any GST payable on fees you receive.

5. Subscription and billing

ReferOn is offered with a free trial period, after which continued access requires a paid subscription at the price shown in the app. Subscriptions are billed monthly in advance through our payment provider and renew automatically until cancelled.

  • You can cancel any time from Settings. Cancellation takes effect at the end of the paid period, and access to the platform is suspended after that.
  • Fees are non-refundable except where required by the Australian Consumer Law.
  • We may change pricing on 30 days' notice to you.
  • Your account and its history are retained when you cancel, so you can resume by resubscribing.

6. Network conduct, scoring and blocking

ReferOn maintains a rating score for each member, which moves with completed deals and with blocks received from other members. Members may block another member for reasons including non-payment of an agreed fee, manipulating or misrepresenting a lead, sending referrals without client consent, or simply not wishing to work with them again.

Scores are indicative only and are not a statement about anyone's character, competence, or creditworthiness. We may suspend or remove members who accumulate blocks, who breach these terms, or who we reasonably believe are harming the network.

7. Acceptable use

You must not:

  • Submit false, misleading, or unauthorised client information.
  • Use the platform to send unsolicited marketing, or to harvest member or client details.
  • Attempt to access data belonging to referrals you are not a party to, or interfere with the platform's security.
  • Copy, scrape, resell, or reverse engineer the platform or its member directory.
  • Use ReferOn for any unlawful purpose, or in breach of your professional obligations.

8. Your content

You keep ownership of the information you put into ReferOn. You grant us the licence needed to host, process and transmit it to operate the service. You are responsible for having the rights to everything you submit.

9. Availability and liability

We aim to keep ReferOn available and accurate, but we provide it on an “as is” basis and do not guarantee uninterrupted or error-free operation.

Nothing in these terms excludes rights you have under the Australian Consumer Law. Where our liability can be limited, it is limited at our option to resupplying the service or paying the cost of resupply. To the extent permitted by law, our total liability to you is capped at the subscription fees you paid us in the 12 months before the claim, and we are not liable for lost profits, lost business or lost opportunities.

We are not liable for the conduct of any member, the outcome of any referral, or any dispute between members — including any unpaid referral fee.

10. Suspension and termination

You may close your account at any time. We may suspend or terminate access where you breach these terms, where your subscription is unpaid, or where we reasonably believe your conduct risks harm to other members or their clients. Sections that by their nature should survive termination — including fees owed, liability, and privacy obligations — continue to apply.

11. Changes to these terms

We may update these terms as the platform develops. We will give members notice of material changes before they take effect, and continuing to use ReferOn after that means you accept the updated terms.

12. Governing law and contact

These terms are governed by the laws of Australia, and you submit to the non-exclusive jurisdiction of its courts.
